IR says Vishay's board nominees defeated

SAN FRANCISO—International Rectifier Corp. said Friday (Oct. 10) that shareholders re-elected three board members over candidates pushed by Vishay Intertechnology Inc. Vishay (Malvern, Pa.) last month launched a $1.7 billion tender offer to acquire IR after earlier bids were rejected by IR's board of directors. The two companies have since engaged in a war of words, exchanging long open letters to IR shareholders over the issue. IR (El Segundo, Calif.) said Friday that preliminary results from its annual meeting show that shareholders re-elected Jack O. Vance, Thomas Lacey and Mary B. Cranston. Preliminary results also show that Vishay's proposed changes to IR bylaws, which concerned the timing of annual meetings and the re-election of board members whose terms expire at the end of the year, were also defeated, according to...
